Terms
The terms on which Apps 365 Ltd provides the handoverpro.com website and licenses Handover Pro to organisations.
Last updated: 27 October 2026
1. About these terms
These terms form an agreement between Apps 365 Ltd, a company registered in England and Wales with number 13955007 whose office is at 20-22 Wenlock Road, London N1 7GU, United Kingdom ("we", "us"), and the organisation that uses this website or licenses Handover Pro ("you"). Handover Pro is for businesses and other organisations, not consumers. If you accept these terms for an organisation, you confirm you have authority to bind it.
Where you and we have signed a separate agreement or order form for Handover Pro, it takes precedence over these terms where they conflict.
2. Definitions
- Handover Pro or the Product: our SharePoint Framework app for running handovers, supplied as a package for your SharePoint app catalog, with its updates and documentation.
- Order: a quote, order form, invoice or online checkout that sets out the plan, scope, quantities and fees you have chosen.
- Plan: an annual licence (for example Team, Department or Tenant), or an Exit Pack for a single handover.
- Handover pack: one handover. A pack is used when a handover is sealed.
- Scope: where a licence key works: your whole Microsoft 365 tenant, one site collection or one site.
- Your Environment: your Microsoft 365 tenant and SharePoint Online sites in which the Product runs.
- Your Data: any data in Your Environment that the Product reads, creates or stores.
3. The product
Handover Pro runs as a web part in Your Environment, in the browser of the person using it and with that person's own SharePoint permissions. It maps the content and permissions you choose, records interviews, drafts handover documents, plans and applies access changes that a person in your organisation approves and applies, and seals packages of records in your SharePoint site. We provide it with reasonable skill and care. We do not promise that it will be uninterrupted or free of errors, or that it will meet every requirement you have.
4. Your licence
Subject to these terms, your Order and payment of the fees, we grant you a non-exclusive, non-transferable licence to install and use the Product within the scope, plan and quantities in your Order, for your internal business purposes, during the licence term. Microsoft 365 partners and managed service providers may use it for their clients where their Order or a partner agreement allows.
You must not, except as the law allows: copy, resell, rent or sublicense the Product; reverse engineer, decompile or try to derive its source code; work around its licence checks; remove our notices; or use it to build a competing product.
5. Your responsibilities
- You are responsible for Your Environment, its Microsoft licences and settings, and the accounts and permissions of the people who use the Product.
- You decide which handovers to run and who takes part. You are responsible for telling the people involved, for your privacy notice and for having a lawful basis to use their data.
- You are responsible for reviewing every access plan before it is approved and applied, and for keeping backups. Access changes, check-ins and discarded check-outs change Your Environment, and some cannot be undone.
- You must use the Product lawfully and in line with Microsoft's terms and your own policies.
6. Fees, packs and renewal
Fees are set out in your Order, in pounds sterling and excluding VAT, which you pay in addition where it applies. Unless your Order says otherwise, fees are payable in advance: at checkout for orders in our online shop at apps365ltd.com, and within 30 days of invoice otherwise. They are not refundable except where the law requires.
Annual plans run for twelve months from the date your licence key starts and include the handover packs and the number of handovers active at a time set out for that plan. Unused packs do not carry over to the next licence year. Exit Packs add one handover each to any plan and are not renewed.
An annual plan bought in our online shop is a yearly subscription: it renews for another twelve months, with a new licence key that starts the day after the current one ends, unless you cancel it before the renewal date. You can cancel in your account in the shop. Other licences renew only when you place a renewal Order, and we will remind you before they end. We may change our prices for a new term by telling you in advance.
7. Trials and pilots
We may offer free trials, pilots, demonstrations or not-for-resale licences. They may be limited in time or features and we may change or end them at any time. A free trial lasts 14 days, and each organisation can start up to three free trials in any 90 days. No fees are due for them unless you choose to buy. Sections 12 and 13 apply to them.
8. The daily check-in
Once a day per site, the Product sends us a small check-in about the installation, as described in our privacy notice. A site administrator can switch it off. Licence checks never depend on it.
9. Intellectual property
We and our licensors own all intellectual property in the Product, this website and the Handover Pro name and mark. These terms give you only the licence in section 4. You own Your Data and the handover records the Product creates in Your Environment. We may use feedback you choose to give us to improve our products.
10. Data protection
The Product runs in Your Environment and stores Your Data there. We do not host or receive Your Data, and you are the controller of it. Our use of personal data through this website, the check-in and our customer records is described in our privacy notice. If you ask us to look at Your Data while supporting you, for example in a shared screen session, we will use it only for that purpose and keep it confidential.
11. Microsoft and third parties
The Product depends on Microsoft 365 and SharePoint Online, which Microsoft provides under its own terms. We are not responsible for Microsoft's services, or for changes Microsoft makes that affect how the Product works, but we will make reasonable efforts to keep the Product working with them during your licence term.
12. Warranties
Apart from the commitments in these terms, the Product, trials and this website are provided "as is", and we exclude all other warranties to the extent the law allows. The Product helps you run handovers and keep evidence of them. It does not by itself make you compliant with any law, regulation or standard, and it covers SharePoint permissions only, not access in other systems.
13. Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
Subject to that, we are not liable for loss of profits, revenue, business, goodwill or data, or for any indirect or consequential loss. Our total liability arising from these terms or the Product in any twelve months is limited to the greater of the fees you paid us for the Product in the previous twelve months and £100.
14. Confidentiality
Each of us will keep the other's confidential information confidential and use it only for the purposes of these terms, except where the law requires otherwise.
15. Term and termination
Your licence lasts for the term in your Order. Either of us may end it straight away by notice if the other seriously breaches these terms and does not put it right within 30 days of being asked, or becomes insolvent. When your licence ends you must stop using the Product. The records the Product created in Your Environment remain yours.
16. Changes
We may update these terms, for example when the Product or the law changes. The version at the start of your licence term applies to that term.
17. General
These terms and your Order are the whole agreement between us about the Product. If any part is found unenforceable, the rest still applies. A failure to enforce a right is not a waiver of it. Neither of us is liable for delays caused by events beyond our reasonable control. Nobody other than you and us has rights under these terms.
18. Governing law
These terms and any dispute about them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Questions about these terms: info@apps365ltd.com.
